Terms of Service

The agreement between you and Avana Live, LLC for use of the Avana app.

Please read these Terms of Service ("Terms") carefully before using the Avana mobile application ("App," "Avana," or "Service") operated by Avana Live, LLC ("we," "us," or "our"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use Avana.

1. Eligibility

You must be at least 18 years old to use Avana. By using the App, you represent and warrant that:

We reserve the right to request proof of age at any time and to terminate accounts where we have reason to believe a user is under 18. We take minor safety seriously and have zero tolerance for underage use.

2. Account Registration

To use Avana, you must create an account. You agree to:

You may only maintain one (1) account. Creating multiple accounts to evade a suspension or ban is strictly prohibited and will result in permanent removal from the platform.

3. The Avana Service

3.1 Live Video Matching

Avana is a live video social and dating application designed for adults 18 and older. The Service facilitates short-form live video calls between matched users, typically averaging approximately three (3) minutes. Avana does not guarantee successful connections, matches, or any specific outcome from use of the Service.

3.2 No Guarantee of Availability

We do not guarantee that the App will be available at all times. We may suspend, restrict, or terminate access to the Service at any time for maintenance, upgrades, or any other reason without prior notice.

4. Video Call Recording & Data Retention Policy

Avana uses a limited call recording system solely for the purpose of safety enforcement and report verification. By using the Service, you expressly acknowledge and consent to the following:

4.1 Recording for Safety Purposes

All live video calls conducted through the App are recorded at the technical level during the call session. This recording is used exclusively to verify user reports and enforce our Community Guidelines.

4.2 Automatic Deletion — No Report

If no report is submitted by either party during or immediately following a call session, the recording is automatically and permanently deleted upon conclusion of the call. Avana does not retain, review, store, or use recordings where no report has been made.

4.3 Retention Upon Report

If a user submits a report against another user during or after a call session, the recording of that specific session will be retained temporarily for the sole purpose of reviewing the report and determining whether a violation of these Terms or our Community Guidelines occurred. Retained recordings are:

4.4 Consent to Recording

By initiating or accepting a live video call on Avana, you provide explicit, informed consent to being recorded for the safety purposes described above. If you do not consent to this recording policy, you must not use the live video features of the App.

4.5 No Third-Party Sharing of Recordings

Avana will not sell, license, or voluntarily share call recordings with third parties. Recordings may be disclosed to law enforcement only pursuant to a valid legal process (e.g., subpoena, court order, or emergency disclosure obligation).

5. User Conduct & Acceptable Use

By using Avana, you agree to use the Service lawfully and in accordance with these Terms and our Community Guidelines. You agree that you will NOT:

5.2 Reporting Responsibility

The report system on Avana is a critical safety tool. Abuse of the reporting system — including filing false reports with knowledge that no violation occurred — is a violation of these Terms and may result in account suspension or termination. We take both safety enforcement and reporting integrity seriously.

6. Strike Policy & Enforcement

Avana uses a progressive enforcement system. Violations of our Community Guidelines result in strikes against your account. Strikes accumulate over time but expire after two (2) months of good standing (no new strikes earned). Our enforcement tiers are as follows:

Certain violations (nudity, sexual content, violence, threats, hacking, scamming) may result in immediate permanent ban without prior strikes at Avana's sole discretion. Avana reserves the right to modify enforcement determinations based on the specifics of each reported incident and the results of call recording review.

7. Payments, Subscriptions & Virtual Goods

7.1 Avana Plus Subscription

Avana offers a premium subscription plan ("Avana Plus") at $24.99 per month. By subscribing, you authorize Avana to charge your payment method on a recurring monthly basis until you cancel. Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.

7.2 Micro-Purchases & Virtual Goods

Avana offers optional in-app purchases including Hearts, Add Time, and Icebreaker Games (collectively, "Virtual Goods"). Virtual Goods are non-refundable once consumed or used. Unused Virtual Goods may be eligible for refund within 14 days of purchase, subject to our discretion and applicable law.

7.3 No Refunds on Subscriptions

Subscription fees are non-refundable except where required by applicable law. If you cancel your Avana Plus subscription, you will retain access to premium features through the end of your current billing period.

7.4 Price Changes

We reserve the right to modify pricing for Avana Plus or Virtual Goods at any time. We will provide at least 30 days' notice of any price increase to existing subscribers via email or in-app notification.

7.5 Account Termination & Purchases

If your account is suspended or permanently banned due to violations of these Terms, you forfeit any unused Virtual Goods and remaining subscription period. No refunds will be issued in the event of a ban for violations.

8. Intellectual Property

8.1 Avana's IP

The App, its design, code, branding, trademarks, and all content created by Avana are the exclusive property of Avana Live, LLC. You may not copy, reproduce, distribute, or create derivative works from any Avana-owned content without our prior written consent.

8.2 Your Content

You retain ownership of any content you create or share on Avana. By using the Service, you grant Avana a non-exclusive, royalty-free, worldwide license to use, store, and process your content solely to the extent necessary to operate and improve the Service, subject to our Privacy Policy.

8.3 DMCA

We respect intellectual property rights. If you believe content on Avana infringes your copyright, please contact us at legal@avanalive.com with a DMCA takedown request including your contact information, identification of the infringing content, and a statement of good faith belief.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AVANA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. AVANA IS NOT RESPONSIBLE FOR THE CONDUCT, ONLINE OR OFFLINE, OF ANY USER OF THE SERVICE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AVANA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP. IN NO EVENT SHALL AVANA'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AVANA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Avana Live, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content you submit or transmit through the App.

12. Dispute Resolution & Arbitration

12.1 Informal Resolution

Before initiating any formal dispute, you agree to contact Avana at legal@avanalive.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). Arbitration shall take place in Nashville, Tennessee.

12.3 Class Action Waiver

YOU AND AVANA WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity only.

12.4 Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.

13. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the effective date above and notify you via email or in-app notification. Your continued use of the App after notice constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to use the App immediately ceases. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) shall survive.
